Scope of Position

The Legal & Compliance Counsel will report to and work under the functional direction and oversight of the Head of Legal & Compliance - Malaysia, and will have some experience and judgment to be able to work with minimal supervision. The Legal & Compliance Counsel will be part of a regional team working closely with other functions within the region and the global Airbus Legal & Compliance department providing skilled, objective, and professional legal and compliance support for all Airbus entities in Malaysia.

Key Responsibilities

Legal Advice

  • Assist the HO Legal & Compliance in providing legal and compliance services to the Business Units, Functions Group entities present in Malaysia and their respective operations.

  • Work with business stakeholders to assess legal implications and potential risk, help them identify, understand and manage both short-term and long-term risks to the business.

  • Assist in providing counsel regarding both legal framework and what is appropriate for all Airbus Malaysia activities across divisions.

Corporate, Governance and M&A activities

  • Assist the HO Legal & Compliance - Malaysia and provide legal support for the various acquisition, re-organisation, integration, development and divestment projects in Malaysia

  • Assist in managing the legal aspects of the transaction

  • Support the coordination of input of outside counsel with the internal members of the project team e.g. Group legal and compliance departments, tax, finance, HR, export control, insurance, real estate and relevant business stakeholders

  • Assist in monitoring compliance of the transactions with relevant and applicable laws and regulations

  • Coordinate with and support where necessary other members of the legal and compliance department

  • Assisting with and monitoring all corporate matters related to the Airbus Malaysia

  • Coordinate and review corporate secretarial documentation in respect of Airbus Malaysia entities

Business Legal Support/ Commercial Contracts

  • Assist with drafting and reviewing agreements for various transactions, notably:

  • Aviation services: maintenance repair and overhaul services: parts repair, lease and exchange services, line and base airframe maintenance, spare parts management and supply, sales, fleet technical management services, inventory technical management services etc

  • Procurement: aircraft spare parts, aviation subcontracting services, jigs and tools, industrial maintenance, infrastructure and construction operations, general procurement

  • Innovation, IP and IT: research and development agreement, cooperation agreement, software licences, IT services and cloud computing agreement

  • Real Estate: structure, draft and negotiate contracts relating to real estate operations (purchasing, sale, construction, lease, etc.)

  • Assist with drafting, adapting and managing standard contract templates depending on the business needs and ensure proper coordination with all relevant functions (Export Control, Insurance, Tax and Finance etc.)

  • Identify and evaluate legal and compliance risks relating to the execution or performance of contracts, alert and report about such risks, propose and implement solutions to eliminate or reduce such risks

  • Assist with preparation and conducting of legal trainings in order to develop legal awareness for operations in Malaysia

Litigation

  • Assist with coordination with external counsel on advice and support, and support internal communication/preparation on litigation/arbitration matters

Compliance

  • Co-ordinate with and support where necessary other members of the legal and compliance department

  • Under the supervision of the Regional Ethics and Compliance Manager and HO Legal & Compliance - Malaysia:

  • Support compliance initiatives for Malaysia and assist with adapted deployment and monitoring with the tools and systems used by Airbus

  • Support coordination within the ASPAC Region on policies, regulations and legal processes for Malaysia

  • Assist with the roll-out and management of training sessions and clear communications on anti-corruption laws and internal compliance policies for Airbus employees based in Malaysia

  • Support deployment of key elements of the anti-corruption programme for Malaysia: the due diligence, monitoring and auditing of business partners, agents, political advisors, offset providers and other types of third parties that present an elevated risk from a compliance perspective

  • Assisting with conducting of risk-based training of business partners and other third parties on Ethics & Compliance

  • Assist with the conducting of Compliance Investigations affecting Airbus entities (pre-investigation planning, data collection, witness interviews, final report drafting, etc.)

  • Support intake and processing of reports received through Airbus’ whistle-blowing system, “OpenLine”

Job Requirements

  • Hold minimum education in LL.B/Degree in Law

  • Have at least 3 years’ experience in PQE.

  • Admission to Malaysian Bar/Commonwealth jurisdiction Bar

  • Fluent in written and oral English and Malay (any other Asian or European language is considered as a plus.)

  • Excellent writing skills required to write and edit reports and memorandums

  • High degree of credibility, independence, integrity, confidentiality and trust

  • Microsoft Office: Word, Excel, Power Point

  • Proficiency in G-Suite tools
