Senior Corporate Paralegal
Job description
A prestigious law firm is looking for Senior Corporate Paralegal for their LA, Century City, or OC office. Looking for someone with strong corporate/ transactional experience in a high-pace law firm. Hybrid schedule of 1 day in office, 4 days remote.
Duties:
- Prepare, draft, and file formation and qualification documents for corporations, limited liability companies, and partnerships.
- Assist with drafting documents necessary at all stages of a corporate transaction, including those related to preferred and debt financings, mergers & acquisitions, and corporate dissolution.
- Facilitate and support the lifecycle of a transaction, including tracking signatures and deal deliverables, taking ownership of transaction documentation, managing closing documentation, handling closing mechanics, and issuing stock certificates.
- Prepare and file UCC financing statements, including related exhibits.
- Obtain SEC access codes for clients.
Qualifications:
- Minimum 10 years of progressive responsibility in managing corporate transactions in a large law firm or professional services environment, with law firm experience strongly preferred
- Four-year degree or equivalent required
- Paralegal certification required
- Familiarity with UCC financing statements, filing components by jurisdiction, procedures, and lien searches
- High level of proficiency with DocuSign, Microsoft Office Suite applications, Adobe Acrobat, and other Corporate records filing and transaction databases.
